TERMS OF SERVICE FOR DEZN.AI

1. INTRODUCTION

Welcome to DEZN.ai ("Platform"), a B2B AI-powered fashion design assistant. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Designer," "User," or "You") and DEZN AI ("Company," "We," or "Us").

By accessing or using the Platform, you certify that you are a professional designer or authorized business representative and are at least 18 years of age.

2. DEFINITIONS

"Client": The end-customer of the Designer whose photos or measurements are processed on the Platform.

"Input Data": Photos, text prompts, measurements, and preferences uploaded by the Designer.

"Generated Output": The AI-generated fashion images and designs created by the Platform.

"Minor": Any individual under the age of eighteen (18) years.

"Gems": Virtual license credits used to meter access to the AI generation tools on the Platform.

"Subscription Plan": One of the tiered access levels — Aarambh (Free), Akruti, or Virasat — each providing different feature access and generation quotas.

"Community": The in-platform communication feature available to subscribers of Akruti and Virasat plans, enabling designers to exchange messages, files, and reactions.

"Data Fiduciary": As defined in the DPDP Act 2023, the entity determining the purpose of processing (here, the Designer).

"Data Processor": As defined in the DPDP Act 2023, the entity processing data on behalf of the Fiduciary (here, the Company).

3. DATA PROTECTION AND ROLE OF PARTIES

3.1 Designer as Data Fiduciary

You acknowledge that in relation to any Client personal data (including facial images and measurements) uploaded to the Platform, You are the Data Fiduciary. You are solely responsible for:

• Obtaining valid, free, specific, informed, and unambiguous consent from your Clients before uploading their data.
• Providing necessary privacy notices to your Clients.
• Ensuring compliance with the Digital Personal Data Protection Act, 2023.

3.2 Company as Data Processor

DEZN.ai acts solely as a Data Processor. We process Input Data exclusively for the purpose of generating fashion designs as instructed by you. We do not retain Client facial images beyond the active generation session.

3.3 Immediate Discard Policy (Biometric Data)

For Adult Clients, facial images uploaded for "Discovery Mode" are processed in volatile memory (RAM) and are permanently deleted from our servers immediately upon the completion of the image generation task. DEZN.ai does not maintain a database of Client facial features.

4. STRICT PROHIBITION ON MINOR'S BIOMETRIC DATA

To comply with Section 9 of the DPDP Act, 2023:

4.1 No Upload Policy: You are STRICTLY PROHIBITED from uploading photographs, facial images, or biometric data of any Minor to the Platform.

4.2 Designer Responsibility: You are solely responsible for verifying client age before uploading any facial photographs. The Platform does not provide automated age verification.

4.3 Breach of Safety: Any attempt to upload biometric data of a Minor is a material breach of these Terms. Such actions will result in immediate account termination and reporting to relevant authorities under the POCSO Act and IT Rules.

5. USER CONDUCT AND CONTENT SAFETY

5.1 Prohibited Content

You agree not to use the Platform to generate, upload, or share content that:

• Is sexually explicit, pornographic, or obscene (specifically CSAM).
• Depicts nudity or sexualized imagery of children (synthetic or real).
• Promotes hate speech, violence, or illegal acts.

5.2 Safety Filters

You acknowledge that DEZN.ai employs automated "Negative Prompting" and safety filters to prevent the generation of inappropriate content. Attempting to "jailbreak" or circumvent these filters is prohibited.

6. SUBSCRIPTION PLANS

6.1 Plan Tiers: The Platform offers three subscription tiers — Aarambh (Free), Akruti, and Virasat — each with different feature access, generation quotas, and pricing. Plan details and pricing are displayed on the Billing page and may be updated from time to time.

6.2 Plan Duration and Expiry: Paid plans (Akruti and Virasat) are valid for 30 days from the date of purchase. Upon expiry, your account automatically reverts to the Aarambh (Free) tier. Features exclusive to paid plans (e.g., Community access, Costing sheet) will become unavailable until a new plan is purchased.

6.3 Plan Changes: Upgrading from one plan to another takes effect immediately. There is no proration or refund for unused time on a previous plan.

6.4 Feature Availability: The Company reserves the right to modify features included in each plan tier at any time, with reasonable notice to affected users.

7. PAYMENTS, "GEMS," AND REWARDS

7.1 License Credits: "Gems" are virtual license credits used to meter access to the AI generation tools. They are not a digital currency and have no monetary value outside the Platform.

7.2 Refunds and Cancellation: All cancellations and refunds are governed by our Cancellation & Refund Policy. In summary, Gems and subscription plans are non-refundable once delivered, except in cases of duplicate charges, payment captured but service not delivered, or unauthorized debits after a successful cancellation. Gems are non-transferable between accounts. Subscriptions billed via UPI AutoPay may be cancelled at any time from the Billing page; cancellation stops all future debits but does not refund the current paid period.

7.3 Referral Program: You may receive a unique referral code to share with other designers. When a referred designer makes their first purchase, both parties may receive gem rewards as specified on the Platform. The Company reserves the right to modify referral rewards, cap the number of referrals, or discontinue the referral program at any time.

7.4 Coupons and Promotional Codes: The Platform may offer promotional coupon codes that grant Gems, plan access, or other benefits. Each coupon is subject to its specific terms, including expiration and usage limits. Coupons cannot be exchanged for cash and may not be combined.

7.5 Abuse Prevention: Any attempt to manipulate, exploit, or fraudulently use the referral program, coupon system, or gem rewards (including creating duplicate accounts) will result in immediate account termination and forfeiture of all Gems and benefits.

8. COMMUNITY PLATFORM

8.1 Access

The Community feature is available exclusively to designers with an active Akruti or Virasat subscription plan. Community access expires when the associated plan expires.

8.2 Acceptable Use

When using the Community, you agree to:

• Post only content relevant to fashion design, boutique management, and professional collaboration.
• Not post any personally identifiable information of Clients, including facial photos, phone numbers, or addresses.
• Not engage in spam, harassment, solicitation, or off-topic promotion.
• Not upload files exceeding 5 MB or of disallowed file types (only JPEG, PNG, WebP, and GIF images are permitted).
• Respect intellectual property rights — do not share copyrighted designs without authorization.

8.3 Content Visibility

All messages and files posted in community channels are visible to every member with active community access. Your designer name, boutique name, profile image, and subscription badge are displayed alongside your posts.

8.4 Moderation

Platform administrators reserve the right to delete any message or uploaded content that violates these Terms or community standards, without prior notice. Repeated violations may result in temporary or permanent revocation of community access.

9. CUSTOMER MEASUREMENT DATA

9.1 Designer Responsibility: When you store customer measurement data (phone numbers, names, body measurements) on the Platform, you are solely responsible for obtaining your customer's consent and ensuring the accuracy of the data entered.

9.2 Data Isolation: Customer measurement data is stored under your designer account and is not accessible to other users. The Company does not access, share, or analyze individual customer measurement records.

9.3 Data Deletion: You may update or create new measurement profiles at any time. Upon deletion of your designer account, all associated customer measurement data will be permanently purged within 30 days.

10. INTELLECTUAL PROPERTY RIGHTS

10.1 Ownership: Subject to your compliance with these Terms, DEZN.ai assigns to you all rights, title, and interest in the Generated Output (the fashion design). You own the final image for use in your portfolio or client presentations.

10.2 Platform Rights: The Company retains all rights to the underlying AI models, algorithms, "Style DNA" methodologies, and the Platform interface.

10.3 Community Content: By posting content in the Community, you grant DEZN.ai a non-exclusive, royalty-free license to display and distribute that content to other community members within the Platform. You retain ownership of your original content.

10.4 No Training on Client Data: We covenant that Client facial inputs uploaded by you are NOT used to train, fine-tune, or improve our foundational AI models.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DEZN.ai, its officers, directors, and employees from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Your failure to obtain necessary consents from your Clients (including Parental Consent).
• Your violation of the "No Upload Policy" for Minors.
• Your use of Generated Output in violation of any applicable law.
• Content you post in the Community that infringes third-party rights.
• Misuse of customer measurement data stored on the Platform.

12. DISCLAIMER OF WARRANTIES

12.1 AI Limitations: You acknowledge that the Platform uses generative AI, which is probabilistic. The Company does not guarantee that the Generated Output will be error-free, physically manufacturable, or an exact likeness of the Client.

12.2 "As Is" Basis: The Services are provided "as is" without warranties of any kind. DEZN.ai disclaims liability for "hallucinations" (AI errors), unsatisfactory aesthetic results, community content posted by other users, or temporary unavailability of any feature.

13. ACCOUNT TERMINATION

13.1 By You: You may delete your account at any time. Upon deletion, all your data (including saved designs, customer measurements, community messages, and profile information) will be permanently purged within 30 days, except for records required by law.

13.2 By Us: We reserve the right to suspend or terminate your account at any time for violation of these Terms, including but not limited to: uploading minor's biometric data, community guideline violations, referral/coupon abuse, or any illegal activity. Termination results in forfeiture of all Gems, active subscriptions, and community access.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.

In accordance with the IT Rules, 2021, if you have any complaints regarding content, community moderation, or data privacy, please contact our Grievance Officer:
